Additional terms and conditions regarding your access to and use of this Site may be posted on other areas of this Site (collectively with this Privacy Policy and the Terms, this “Agreement”). Please read this Agreement carefully before using this Site. This Site is available for your use only if you acknowledge and agree to be bound by the terms and provisions of this Agreement. If you do not agree to be bound by the terms and provisions of this Agreement, do not access or use this Site. By accessing or using this Site, you acknowledge and agree that (i) you have read, and you are bound by, the terms and provisions of this Agreement, (ii) this Agreement constitutes a legal and binding agreement between you and AutoProsUSA.com, a Texas corporation (“we,” “us” or “our”) and (iii) this Agreement and the Web Site Terms and Conditions constitute the entire agreement between you and us and it supersedes all prior or contemporaneous agreements, representations, warranties and understandings with respect to the Site. Your rights to access or use this Site may be limited further by federal, state, local or jurisdictional laws, rules and regulations.
General Policies
We understand the importance of protecting your privacy. Accordingly, we believe it is important for you to know how we approach privacy issues.
In general, we do not collect information about you when you visit this Site unless you elect to send us e-mail or otherwise communicate information to us. However, certain areas of this Site require registration or a password for access. In those instances, log file data and other information may be collected through the use of cookies. The collected information may be used, among other things, to (i) improve the products and services that we and our affiliates offer, (ii) improve this Site and its content, (iii) contact you with updates to the Site or for other marketing purposes and (iv) verify your identity when accessing the Site.
Information Collected
If you are a registered user on our Site, our web server uses an extended log file format that captures the date and time of visit, the referring address (i.e., the location from which you came to this Site), the type of Internet browser and your IP address (remember that each computer that connects to the Internet is assigned a unique number, an IP address, for identification purposes). The log file does not capture your e-mail address or any other information personal to you.
Certain areas of this Site ask for your business profile, contact information and billing information (“Requested Information”). That information is collected to help us further develop our products and services, to provide you with access to our Internet-based information and services, and to bill you for those services if you elect to use them. We protect this information through the use of encryption, such as the Secure Socket Layer (SSL) protocol, when we transit it over the Internet.
Remember, other than the Requested Information described in the immediately preceding paragraph, we do not want you to, and you should not, post, publish or transmit any of your confidential or proprietary information on, through or to this Site, whether in the form of answers, comments, concepts, e-mails, feedback, ideas, inputted data, inventions, know-how, messages, plans, questions, suggestions, techniques, uploaded files or otherwise (collectively, the “User Information”). In the event you choose to post, publish or transmit any of the User Information on, through or to this Site, you acknowledge and agree that (i) such User Information will not be treated as confidential or proprietary, (ii) you are responsible for the accuracy and correctness of such User Information, (iii) you are granting us an irrevocable, royalty-free, unlimited and worldwide license to assign, communicate, convey, copy, create derivative works from, display, distribute, exploit, export, lease, loan, post, publish, redistribute, rent, reproduce, republish, retransmit, sell, transfer, transmit or otherwise use such User Information for any purpose whatsoever, (iv) you waive any and all claims against us and our affiliates regarding the use of the User Information, including any claims regarding infringement of intellectual property rights, and (v) we reserve the right, in our sole and absolute discretion, to amend, change, delete, modify, reject, revise or update any of the User Information at any time without notice to you.
Use of Collected Information
The information collected through this Site helps us identify the type of website content you value most. We use that information to market and improve this Site and our products and services. We also use that information to send you e-mail notifications about updates to this Site, and to contact you by other means for marketing and other purposes. Except to the extent required by law, we do not give, license, rent, sell, swap or otherwise distribute the information collected through this Site to any individual or entity other than ourselves and our affiliates; provided, however, that in some cases we may use suppliers to assist us in collecting, using or otherwise processing for our benefit the information obtained through this Site. Our practice is to require our suppliers to conduct such activities consistent with this Privacy Policy.
Links
As a courtesy to you, the Site may contain links to websites and resources owned by other individuals and entities (collectively, the “Third Party Sites”). If you utilize the links to the Third Party Sites, you will leave this Site and the only information that will be transferred to the owners of the Third Party Sites is the referring address (i.e., the fact that you came from this Site). If you decide to visit the Third Party Sites, you acknowledge and agree that (i) you do so at your own risk, (ii) it is your responsibility to guard against time bombs, trojan horses, viruses, worms or other computer programming routines that could alter damage, expropriate, intercept or interfere with your computer system, (iii) we are not endorsing, nor are we responsible for, the information or the content contained on the Third Party Sites, or the products or services promoted, offered by or sold on the Third Party Sites (including anything that could be abusive, defamatory, false, harassing, inaccurate, inappropriate, libelous, misleading, offensive, obscene, sexually explicit, threatening, unlawful, vulgar or otherwise objectionable, or that could be in violation of any federal, state, local or jurisdictional law, rule or regulation), (iv) your access to and use of the Third Party Sites is subject to the Third Party Sites’ terms and conditions of use (including their respective privacy polices), (v) we are not responsible for the availability of the Third Party Sites, (vi) we are not making any representations or warranties regarding the accuracy, appropriateness, availability, completeness, freedom from viruses, performance, quality, security or timeliness of the Third Party Sites or their contents (including the text, graphics, images, software, audio and video clips, links, logos, icons and other items and materials contained on the Third Party Sites), (vii) we are not liable for any consequential, direct, exemplary, incidental, indirect, punitive, special or other claims, damages, expenses (including reasonable attorneys’ fees) and other losses, including damages for loss of use of the Services or the Content, lost access to this Site, lost goodwill or profits, or other intangible losses, whether in contract, tort (including negligence), strict liability, product liability or any other theory of liability, arising out of, connected with or related to the Third Party Sites.
Cookies
A cookie is a series of data characters that, when programmed into a website, is placed by the web server into the browser’s application folder on your computer. Once placed on your computer, a cookie will allow the website to “recognize” you as a unique individual. Cookies are used to achieve two goals. First, cookies provide us with the capability to personalize information for certain segments of our customer base. Second, in some instances, cookies allow us the opportunity to associate individual customers with their information profiles. For example, through the use of cookies, a “Login” command on this Site can “remember” your user ID when you login to this Site at your computer. Cookies can be removed from your computer. Also, depending on what type of web browser and what browser version you are using, you may be able to change the properties on your cookie file so that cookies are not used or saved. Please check with your browser provider for more information on removing cookies.

Miscellaneous Terms
Except to the extent expressly provided in another written agreement between you and us, this Agreement constitutes the entire agreement between you and us with respect to the subject matter hereof, and it supersedes any prior agreements between you and us with respect to the subject matter hereof. If any term or provision under this Agreement is found to be invalid or unenforceable by any court having competent jurisdiction, such invalidity or unenforceability shall not affect the validity or enforceability of the remaining terms and provisions of this Agreement, which shall remain in full force and effect. No waiver of any term or provision of this Agreement shall be deemed to be a further or continuing waiver of such term or provision, or of any other term or provision. We may assign our rights and obligations under this Agreement to any individual or entity at any time and without notice to you. The section headings used in this Agreement are for convenience only and have no legal effect.
